Minor and Material Breaches
There are two main types of contract breaches, depending on the severity of the breach. They are:
- Minor breaches: In a minor breach, one party to the contract has not followed the literal agreement to the letter. In minor breaches, the non-breaching party can only seek compensation for the actual damages.
- Material breaches: Material breaches are more significant than minor breaches, and the injured party has to be deprived of something material because of the breach. For example, a material breach has been committed if you contracted a company to provide 1,000 brass fittings and you instead received 1,000 tin fittings with a brass finish. You could seek damages not only for the failure to provide the promised service, but also to recover the costs that the breach incurred. In this example, you could seek damages for the costs to change the tin fittings for brass fittings as well as the cost of the brass fittings.
