The Importance of a Partnership Contract

Many people go into business form partnerships, which are medium-sized businesses. A few individuals who want a business that has more sales than a small business but who are not ready for a corporation might choose to form a partnership together.

One thing that partners need to create as soon as possible is a contract. A contract should set out the terms by which the partnership will function. It will answer questions about who will perform what duties, what the purpose of the partnership is, how profits will be split among the partners, and other concerns. The areas that a contract should cover are the areas that are related to core of the business. It should clarify the fundamental issues.

If a contract is not created during or before the formation of the partnership, a number of problems can arise, negatively affecting the partnership. For example, partners may not have clarified from the very beginning how profits will be split up. As a result, disputes can arise later, resulting in lawsuits and other hassles. Or, the lack of a contract can lead to partners disputing over the direction in which to take the business.

Some partners may want to expand into one market segments, while other partners may want to expand into another market segment. An effective contract will state how such major decisions will be made.
